Terms of Use

These Terms of Use govern access to and use of Stratace, including the public website, purchase flows, managed account areas, licensing systems, knowledge-base content, support interactions, onboarding materials, and any associated application or service environment that we make available. By visiting, accessing, purchasing, registering for, or using Stratace, you agree to be bound by these Terms, along with any additional policies, notices, or written commercial terms that expressly apply to your account or transaction.

If you are using Stratace on behalf of a company, client, employer, or other organisation, you represent that you have authority to bind that organisation to these Terms. In that case, references to “you” include both the individual user and the relevant organisation, to the extent applicable.

Scope of the service

Stratace is a commercial software platform intended to support sales intelligence, customer strategy, internal account handling, onboarding, training, licensing, and related operational workflows. Features, packaging, plan structures, service components, and availability may evolve over time. We may add, revise, limit, replace, improve, or discontinue parts of the service where reasonably necessary for product development, security, operational stability, or commercial management.

Accounts and eligibility

You may be required to create or maintain an account to access parts of the service. You agree to provide accurate information, keep your details reasonably up to date, and use the service only in a lawful and authorised manner. You are responsible for maintaining the confidentiality of credentials, protecting access to authorised devices, enabling appropriate internal access controls, and ensuring that users operating under your account are permitted to do so.

You are also responsible for activity that occurs through your account or through licenses, workspaces, or seats allocated by you, except to the extent directly caused by Stratace’s own breach of these Terms.

Authentication and security

Stratace may implement password controls, two-factor authentication, login restrictions, verification checks, licensing validations, device-related controls, rate limits, and other safeguards. You agree not to bypass, interfere with, disable, or attempt to weaken these controls. We may suspend or restrict access where we detect activity that creates security, fraud, abuse, or operational risk.

If you believe your account, credentials, or licensing access may have been compromised, you should notify us promptly and take immediate steps to secure your environment.

Subscriptions, licenses, and seats

Access to Stratace is governed by the package, subscription, license, seat count, and entitlement structure that applies to your purchase. Certain plans may be monthly, annual, one-time, limited-time, promotional, or custom. Some features may be available only on certain packages or only by separate approval. License usage, seats, and access rights remain subject to the commercial rules of the package you purchased and any additional written terms that apply.

You may not exceed licensed entitlements, share access in ways not permitted by the relevant plan, or circumvent seat, device, access, or validation mechanisms. We reserve the right to verify licensing status, enforce plan limits, and restrict access where a package is being used beyond approved entitlement.

Payments and renewals

Where applicable, you agree to pay all fees associated with the plan, seats, subscriptions, or services you select. Recurring subscriptions may renew automatically unless cancelled before the next billing cycle, subject to the terms of the payment provider and the commercial terms shown at purchase. Pricing, packaging, promotional offers, and seat rates may change in the future for new purchases or future billing periods, unless a separate written agreement states otherwise.

Refunds, if any, are governed by the applicable Refund Policy or separate written commercial terms.

Acceptable use

You agree to use Stratace responsibly and lawfully. Without limitation, you must not:

  • Use the platform for unlawful, deceptive, fraudulent, abusive, harmful, or rights-infringing activity.
  • Reverse engineer, copy, scrape, replicate, republish, resell, or exploit the service beyond what applicable law or written permission allows.
  • Attempt to bypass access restrictions, security features, licensing checks, seat limits, rate limits, or authentication controls.
  • Upload, transmit, or introduce content, code, or material that is malicious, disruptive, defamatory, or otherwise harmful to the platform or third parties.
  • Misuse support, billing, refund, pre-sales, or operational processes in a way that is abusive, manipulative, or intentionally misleading.

Customer content and operational inputs

You remain responsible for the legality, accuracy, rights status, and appropriateness of information, files, signals, communications, prompts, account data, and operational content that you submit to the platform. You represent that you have the necessary rights and permissions to use and provide such content in connection with the service.

Stratace does not claim ownership of your lawful customer content solely by virtue of your use of the platform, but you grant us the rights reasonably necessary to host, process, transmit, secure, and operate the service in relation to that content.

Support, onboarding, and guidance

Any support, onboarding, documentation, training content, or commercial guidance provided through Stratace is intended to assist users in using the product effectively, but does not create a guarantee of outcome, revenue result, sales conversion rate, or suitability for a particular commercial objective. Product strategy remains dependent on how you implement the platform, the quality of your data, your sales process, and market conditions beyond our control.

Service availability and changes

We aim to operate the service in a reliable and commercially reasonable manner, but we do not guarantee uninterrupted availability at all times unless a separate written service commitment states otherwise. Maintenance, updates, security interventions, third-party failures, provider outages, and force majeure events may affect availability. We may update the service, commercial packaging, pricing, support channels, and these Terms from time to time.

Continued use of Stratace after revised Terms take effect constitutes acceptance of the updated version, except where applicable law requires another mechanism.

Suspension and termination

Stratace may suspend, limit, or terminate access where reasonably necessary to protect the platform, enforce these Terms, respond to fraud or abuse, manage unpaid balances, comply with legal obligations, or address conduct that creates commercial, operational, or legal risk. You may also stop using the service or cancel recurring services in accordance with the applicable billing flow, but outstanding obligations remain enforceable.

Intellectual property

Except for customer content and any third-party material used under applicable rights, Stratace and its related branding, software, interface design, commercial presentation, documentation, training content, and operational systems are owned by Stratace or its licensors and are protected by applicable intellectual-property and related laws. These Terms do not transfer ownership to you. They provide only the limited right to use the service in accordance with the plan and terms that apply.

Disclaimers

To the maximum extent permitted by law, Stratace is provided on an “as available” and “as provided” basis unless a specific written commitment states otherwise. We do not warrant that the service will be uninterrupted, error-free, perfectly secure, or suitable for every business model or sales environment. Commercial success, customer outcomes, and operational results depend on many factors outside our control.

Liability

To the maximum extent permitted by law, Stratace will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost opportunities, or business interruption, even if advised of the possibility. Our aggregate liability for claims arising out of or relating to the service will generally be limited to the fees paid by you to Stratace during the three-month period preceding the event giving rise to the claim, unless a written enterprise agreement expressly states otherwise.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

Governing framework and related documents

These Terms should be read together with the Privacy Policy, Refund Policy, Data Processing Addendum, Service Level Overview, and Acceptable Use Policy, as well as any separate order form, proposal, or commercial agreement that specifically applies to your account.
